Terms of Use

This document (gthe Agreementh) is a legally binding agreement between the Japan Music Network Inc., as defined in Article 1.1, as a registered user of BARKS TICKET (gthe Serviceh) operated by Japan Music Network Inc. as follows:

Article 1. Member
  1. gMemberh means an individual that accepts the terms and conditions of the Agreement and applies for the actual membership in accordance with the procedures separately determined by Japan Music Network Inc.
  2. gMember Informationh means information which Member has disclosed to Japan Music Network Inc. concerning the attributes of Member and in relation to use of the Service, including, but not limited to, account history and transactions.
  3. This Agreement is applicable to each Member and it must be understood and complied with by each Member on and after the registration of membership.
  4. gServiceh means gBARKS TICKET Serviceh at the below URL, operated by Japan Music Network Inc. http://www.barks-ticket.com/
Article 2. Registration
  1. Membership
    1. Member who applies for the actual membership holds membership qualification upon completing the necessary registration procedure after understanding the terms and conditions of the Agreement. An individual intending to be Member must execute the registration process; registration by proxy is strictly prohibited. Provided that, Japan Music Network Inc. shall have the right to refuse membership applications from individuals whose previous membership qualifications were cancelled and/or who did not qualify for any other reason.
    2. For individuals under 20, membership registration must be executed with the consent of a person in parental authority to the terms and conditions of the Agreement. Members who are under 20 warrant and guarantee to Japan Music Network Inc. that all transactions on Member accounts are conducted with the consent of a person in parental authority.
  2. Member Information Entry
    On executing the registration process, please read carefully and follow the instructions for data entry and input the necessary items accurately using the data entry form. Please note that special symbols, former Chinese characters (Kanji) and Roman numerals may not be entered. In case the previously stated are entered, they will be modified by Japan Music Network Inc.
  3. Management of ID and Password
    1. Memberfs ID and password may only be used by Member himself/herself and cannot be transferred, made lendable, and/or available for granting a pledge, security or collateral to third parties.
    2. The ID and password must be securely and responsibly managed by Member. Changing password periodically is strongly advised.
    3. All transactions carried out using the password are deemed by Japan Music Network Inc. to be the conduct of Member, and all matters arising from the said transactions, including payment matters, shall be the sole responsibility of Member.
    4. Member must inform Japan Music Network Inc. immediately when his/her ID and password has been illegally obtained and used by third parties, and/or when there is a possibility that the ID and password may be illegally obtained and used by third parties. In such cases Member must follow the applicable procedures as requested by Japan Music Network Inc.
    5. Member understands that Japan Music Network Inc. shall not be liable whatsoever for any damage and loss suffered by Member and/or third parties which results from Memberfs breach of the Agreement.
  4. Member understands that the use of the Service is at his/her own risk. Japan Music Network Inc. does not warrant, endorse, guarantee or assume responsibility for any ticket offered by third parties, including, but not limited to, third party providers, computers, software and any other Member related devices. Japan Music Network Inc. is not responsible for any transactions between Member and third parties. Please use your best judgment and exercise caution where and when appropriate.
Article 3. Changes
  1. Member shall immediately report to Japan Music Network Inc. in the event there are any changes and/or modifications to the registered Member Information, which was previously submitted to Japan Music Network Inc. (including name(s), address(es), and other related private information).
  2. Member understands that Japan Music Network Inc. is not liable whatsoever for any damages and losses arising from Member's delay and/or negligence in complying with the aforesaid changes and/or modifications to the registered Member Information . Please note that transactions processed prior to updating Member Information are to be processed in accordance with the previously registered Member Information.
Article 4. Withdrawal
  1. Member shall follow the necessary procedure in the event Member wishes to withdraw from the Service. The withdrawal will not take effect until the necessary procedure has been fully taken and processed accordingly.
  2. The following provisions shall survive any expiration or termination of this Agreement: Article 2.3, Article 5.2, Article 7, Article 8, Article 11 and Article 13.
Article 5. Forfeiture of Member qualification &Liability
  1. Japan Music Network Inc. has the right to terminate Memberfs account without prior notice and with immediate effect in any of the cases stipulated below, when:
    1. Member makes a fraudulent application at the Member registration stage.
    2. Member fails to pay for transactions made through the Service.
    3. Memberfs conduct violates of the provision of this Agreement (including Article 5.2).
    4. Memberfs conduct violates (or is likely to violate) applicable laws, ordinances and public order and morals.
    5. Japan Music Network Inc. is unable to contact Member at his/her contact details which were submitted to Japan Music Network Inc. upon registration.
    6. Japan Music Network Inc. for other reasons, deems Member is unsuitable to hold qualification as a Member.
  2. Member shall be fully responsible and liable for all damages and losses which Japan Music Network Inc. suffers as a result of the following situations, when:
    1. Improper use of Memberfs account and/or password occurs (including when Member allows third parties to use his/her account and/or password illegally).
    2. Obstruction of Japan Music Network Inc. 's business and operations occurs due to Japan Music Network Inc.fs homepage being: illegally accessed and the Service contents being altered, information being deconstructed and/or any interference with the Service by other means.
    3. Third party intellectual property rights (including, but not limited to, copyrights and trademarks) and all other rights (including, but not limited to, privacy and publicity rights) are infringed.
    4. Payment delays and/or defaults occur (including where settlements cannot be made as a result of Memberfs negligence) in connection with using the Service.
    5. For any other reason, the terms and conditions of this Agreement are violated due to the conduct of Member.
  3. Japan Music Network Inc. shall not be responsible whatsoever for any damages and losses which Member or third parties suffer, from Member not being able to use the Service as a result of the situations stipulated in Article 5.2.
Article 6. Member Information Policy
  1. Japan Music Network Inc. shall use Memberfs information for the following reasons:
    1. In order to provide the Service (i.e. ID verification upon logging in and out, displaying account information related to Member transactions, inquiry and customer support and other operational use in providing use of the Service.)
    2. In order to process transactions through the Service (i.e. Service operations including but not limited to, purchasing and pre-ordering ticket,payment clearance,customer service, and inquiry follow ups.)
    3. Providing Member exclusive information (i.e. mail magazines, articles, and other information services related to the Service and its artists and their contents.)
    4. For marketing analysis and service development without specifying individual information.
    5. For disclosing information on ticket within Memberfs transaction history.
  2. Member understands that Japan Music Network Inc. will not disclose Member Information to third parties without prior consent in principle. Provided that, Japan Music Network Inc. shall have the right to disclose Member Information without prior consent if any of the previously stated provisions or the following is applicable, and/or on other occasions when it is deemed appropriate in accordance with the Act concerning Protection of Personal Information (Law No.57,2003).
    1. By order of applicable law
    2. In the event Japan Music Network Inc. deems such disclosure as being necessary for protecting its rights and interests and also its image against public slander and defamation.
    3. Member understands that Japan Music Network Inc. will handle Member Information in accordance with Japan Music Network Inc. 's comprehensive policy for privacy information protection.
Article 7. Restrictions of Use
The following conduct is prohibited for Memberfs using Japan Music Network Inc.fs Service:
  1. Engaging in acts that violate any of the following: laws and ordinances, the terms and conditions of this Agreement (including supplementary regulations to this Agreement such as warnings related to using the Services and shopping on the Service) and/or other Japan Music Network Inc. rules and regulations.
  2. Engaging in acts that undermine the rights, interests and reputation of Japan Music Network Inc. and/or third parties
  3. Engaging in acts that are potentially harmful, both mentally and physically, to juveniles, or other acts that offend public order and morals.
  4. Engaging in acts of nuisance or disturbing the public peace.
  5. Entering fraudulent information
  6. Writing and/or sending any harmful computer programs and/or e-mail messages.
  7. Unlawfully accessing without authorization Japan Music Network Inc.fs server and/or all other computers and technical equipment/devices.
  8. Sharing passwords with third parties, and/or lending or assigning passwords to third parties.
  9. Engaging in other acts deemed to be inappropriate by Japan Music Network Inc.
Article 8. Ownership of Rights
  1. Member understands that Japan Music Network Inc. respects all intellectual property rights. All the rights in the contents that are provided through the Service, such as copyrights, trademarks and all other rights (including, but not limited to, image rights and publicity rights) belong to Japan Music Network Inc. or the relevant third party rights holders. All rights (including copyrights) in the compilation (meaning the collection, arrangement and administration) of all contents in the Service shall belong to Japan Music Network Inc. and are protected by Japanese and foreign relevant laws.
  2. In relation to usage other than that stipulated in the scope of the Service, Member will not without Japan Music Network Inc.fs prior approval in writing: copy, modify, publicly transmit or assign any information or contents obtained from the Service to third parties.
Article 9. Suspension of the Service
  1. Japan Music Network Inc. may suspend part or all of the Service without prior notice for the purpose of maintaining the Service operation, in any of the following cases:
    1. For routine and/or urgent system maintenance.
    2. When the system has become overloaded with excess traffic.
    3. When the system operation has become difficult due to fire, power outages, obstruction by third parties and/or for any other reason.
    4. For any other reason which Japan Music Network Inc. deems it necessary to suspend the Service.
  2. Japan Music Network Inc. shall have the right to suspend or abolish part or all of the Service upon notifying Member in advance when Japan Music Network Inc. deems that: (a) there is no improvement to the previously stated conditions during the long term; (b) suspension or abolishment of the Service is necessary due to operational and/or technical difficulties; and (c) providing the Service is difficult due to unforeseen circumstances.
Article 10. Changes to the Service, Discontinuation
Japan Music Network Inc. has the right to appropriately change or terminate all or part of the Service at its own discretion without prior notice.
Article 11. Indemnity
  1. Japan Music Network Inc. does not warrant or guarantee the completeness, accuracy, availability or usability for specific purposes of any of the ticket that are provided to Member through the Service.
  2. Japan Music Network Inc. shall bear no liability whatsoever for damages and losses attributed by delay, change, cancellation and/or demise, errors related to ticket issuance and/or delivery, and any other damages and losses Member suffers in relation to the Service unless such damages and losses are attributable to Japan Music Network Inc..
  3. Japan Music Network Inc. shall bear no liability whatsoever for damages and losses attributed by system suspension, delay or loss of data in conjunction with faults in the communication lines or computers, damages and losses attributed by the causes set forth in Article 9.1, and any other damages and losses Member suffers in relation to the Service unless agreed upon separately between Member and Japan Music Network Inc..
  4. Japan Music Network Inc. does not warrant or guarantee that the email contents and messages sent to Member through and by the Service website, server or domain do not contain any computer viruses or other harmful elements.
  5. Japan Music Network Inc. shall bear no liability whatsoever for damages and losses which are directly attributable to Memberfs violation of this Agreement.
  6. Even in the event that Japan Music Network Inc. should bear liability for any damages and losses suffered by Member, Japan Music Network Inc.fs liability shall be limited to direct and customary losses. The total amount of the said damages and losses shall not exceed the gross amount Member has paid to Japan Music Network Inc. in the 3 months prior to when the actual damages and losses were caused.
  7. This indemnity article excludes the case when such damages and losses arise due to Japan Music Network Inc. 's intent or gross negligence.
Article 12. Revision to this Agreement
  1. Japan Music Network Inc. can provide notices to Member to the e-mail address registered by Member upon registration. Unless otherwise agreed, notices sent by Japan Music Network Inc. to Member to the said e-mail address, shall be deemed to have been given at the time of sending.
  2. Japan Music Network Inc. shall have the right, at its own discretion, to revise this Agreement, and set forth supplementary regulations in support of this Agreement ("Supplementary Regulations"). Such revisions and regulations shall be effective from when they are displayed on Japan Music Network Inc. 's designated website, from which time Member must adhere by the revised Agreement and Supplementary Regulations. In the event Member refuses to comply with the said revisions and regulations, he/she must take the necessary procedures to withdraw from the Service. Should Member continue to use the Service (including accessing sites apart from where the said revisions and regulations are displayed), it shall be deemed that Member has accepted all the terms and conditions of the revised Agreement retroactively.
Article 13. Applicable Law, Jurisdiction
  1. Any matters arising in relation to the Service shall be resolved amicably and in good faith by mutual consultation between Member and Japan Music Network Inc.
  2. In the event any provisions in this Agreement are deemed to be unenforceable, invalid or illegal by the applicable rule of law, all other provisions of this Agreement shall nevertheless remain in full force and effect.
  3. This Agreement shall be governed by and construed in accordance with the laws of Japan. In the event of legal proceedings being brought under this Agreement, each party consents to the exclusive jurisdiction of the Tokyo District Court or Tokyo Summary Court for the adjudication of a trial at first instance.

Stipulations on Ticket Sales

Article 1. Method of Sales
  1. Japan Music Network Inc. shall handle the operation of ticket sales (gTicketing Serviceh which also incorporates Article 2 \Presales) as delegated and directed by event organizer or operating company (gEvent Promoterh). Japan Music Network Inc. may set restrictions in the number and method of ticket sales as needed prior to and including on any particular day(s) designated by Japan Music Network Inc. if necessary.
  2. It is necessary to register as a member of Japan Music Network Inc. (gMemberh) in order to purchase tickets. Once the said Member registration process is completed these Stipulations on Ticket Sales shall apply.
Article 2. Presales
  1. Presale(s) means the sales service by which Japan Music Network Inc. accepts and arranges the logistics for ticket orders and sells ordered tickets. Ticket placements and seating results shall be assigned by lot. Presale(s) does not guarantee the placement of a better seat as its purpose is to ensure placement of the ticket. The method of lot is arbitrary, in principle. Provided that, Japan Music Network Inc. may set priorities based on the requests from Event Promoter, Japan Music Network Inc. shall not publicly announce the method of lot.
  2. Applications for presale ticket and subsequent alterations and/or cancellations can only be made during the presale period.
  3. Member shall refrain from applying for the same event tickets by using several different IDs. In these cases, Japan Music Network Inc. may reject such applications.
Article 3. Exchange, alteration, and cancellation of tickets
Japan Music Network Inc. does not accept for any reason whatsoever any alterations to and cancellation of ticket(s) which Member has purchased. Tickets purchased through the Ticketing Service are exempt from cooling-off policy.
Article 4. Closing of general sales and additional sales
Japan Music Network Inc. shall have the right to close ticket sales for each independent event when tickets sales surpass the relevant scheduled ticket number during a sales period. Provided that, when Event Promoter requests Japan Music Network Inc. shall reopen ticket sales.
Article 5. Service fees
  1. When purchasing ticket(s) through Japan Music Network Inc., Member shall be required to pay additional fees (gservice feesh) concerning the payment and delivery of the ticket(s). Japan Music Network Inc. may collect extra fees in addition to the aforesaid service fees in accordance with the rules and methods stipulated by Japan Music Network Inc.
  2. Japan Music Network Inc. reserves the right to vary or amend prices and fees including service fees by providing prior notice to Member in a manner that Japan Music Network Inc. deems appropriate.
Article 6. Completion of the ticket purchase contract
  1. Member must follow the procedures stated by Japan Music Network Inc. for placing orders. Member understands that upon consenting to the Terms of Use and these Stipulations on Ticket Sales and finalising the aforesaid procedures,the ticket purchase contract shall be completed.
  2. The notification method for the completion of contract is as follows:
    1. Display on the ticket application confirmation page.
    2. Notification on gMy Pageh through Japan Music Network Inc.fs website
    3. Confirmation E-mail upon completion of registration
  3. Japan Music Network Inc. shall bear no liability whatsoever for damages and losses attributed by system failures and errors resulting from connection failures, third party provider facility problems beyond the control of Japan Music Network Inc., and errors in registered e-mail address information, including but not limited to the event which Member fails to receive and/or the aforesaid notification is delayed.
Article 7. Payment Method
  1. Member must select the payment method set by Japan Music Network Inc. in relation to purchasing ticket(s), and pay by the due date accordingly. Japan Music Network Inc. may limit the payment method when and where appropriate.
  2. Member understands that the payment method cannot be changed whatsoever once the period for such changes set by Japan Music Network Inc. ends.
Article 8. Ticket delivery
  1. Member shall select the ticket delivery method set by Japan Music Network Inc. and Member understands that the delivery method cannot be changed whatsoever once the ticket order is confirmed.
  2. Member understands that even after the confirmation of the ticket order, the delivery method may be subject to change in accordance with the circumstances of Event Promoter and/or Japan Music Network Inc.
  3. Seat assignment and/or admission number will be given at the time of ticket redemption. This information will not be given out in advance. Thank you for your understanding.
Article 9. Collection of ticket(s) at the event venue
  1. If the designated ticket delivery method (as stated in Article 8), is for Member to collect his/her ticket(s) at the event venue, Japan Music Network Inc. shall inform Member of the relevant collection procedures upon completing the ticket order and order confirmation. Member must follow these procedures accordingly and collect the ticket when and where designated by Japan Music Network Inc.
  2. Member understands that Japan Music Network Inc. operates a no refund policy, which includes but not limited to cases where Member due to his/her own circumstances fails to receive his/her ticket(s).
Article 10. Refusal of sale
  1. Japan Music Network Inc. reserves the right to refuse ticket sales or terminate the already completed contracts should any of the following apply:
    1. Member makes a fraudulent declaration, or does not make the required declaration.
    2. Member's conduct causes any nuisance to other Memberfs and/or any obstruction to the everyday business and operations of Japan Music Network Inc.
    3. Member fails to follow the designated procedures within the appointed period.
    4. Member fails to follow the designated purchasing procedures set by Event Promoter and/or Japan Music Network Inc.
    5. Member fails to make payment despite completing the ticket order.
    6. Engaging in acts that violate any of the terms and conditions of the Ticketing Service .
  2. Japan Music Network Inc. reserves the right to claim for any damages and losses that Japan Music Network Inc. suffers as a result of the provisions set forth in Article 11.1.
Article 11. Re-issuance of tickets, liability upon event cancellations
In accordance with Event Promoterfs instructions Japan Music Network Inc. shall never re-issue tickets (including, to but not limited to cases of loss, theft and damage/destruction). In the case the event (including concerts and games) is changed or cancelled, Event Promoter shall be fully liable for all damages and losses, including all relevant announcements. Japan Music Network Inc. shall bear no liability whatsoever for any such damages and losses. All liability for refunding tickets due to the said event changes or cancellations shall belong to Event Promoter.
Article 12. Refund policy for cancelled event
  1. In the case the event is changed or cancelled and ticket refunding is applicable upon request by Event Promoter, Japan Music Network Inc. may carry out part of the ticket refunding for Memberfs (named purchasers) who purchased tickets on behalf of the Event Promoter. Japan Music Network Inc. shall carry out the said ticket refunding only within the period set by Event Promoter. No applications for ticket refunding shall be accepted whatsoever following the expiry of aforesaid period.
  2. Japan Music Network Inc. shall make separate announcement(s) on refunding procedures and schedules to Member in relation to carrying out the aforesaid ticket refunding. In line with such announcements Japan Music Network Inc. shall try to deal quickly with ticket refunding to Member, however, depending on each case there may be delays.
  3. Japan Music Network Inc. shall carry out ticket refunding in accordance with the rules and methods separately stipulated by Event Promoter and/or Japan Music Network Inc.
Article 13. Prohibiting resale
  1. As agreed with Event Promoter, it is strictly prohibited for commercial purposes: to resell or to attempt to resell tickets purchased from Japan Music Network Inc. to third parties; and to provide or to attempt to provide third parties with any information from Japan Music Network Inc. (including, but not limited to replacement tickets) in order to resell tickets. Member understands that engaging in acts of ticket touting and/or using various forms of media in order to facilitate ticket resales to the public, shall be deemed by Japan Music Network Inc. as gacts for commercial purposesh, and will therefore violate this Article.
  2. In the case it becomes clear that the aforesaid acts have occurred, Japan Music Network Inc. reserves the right to cancel any ticket orders and may also forfeit Memberfs membership.
  3. In the case it becomes clear that the aforesaid acts have occurred, Member understands that Event Promoter reserves the right to cancel tickets already purchased, without refund and prohibit the Member who did the aforesaid acts from entering the event venue. Also Member understands that Event Promoter also reserves the right to eject Member as a consequence of the aforesaid acts from the venue.
  4. Japan Music Network Inc. shall bear no liability whatsoever for any grievances and/or disputes arising from the purchase of tickets outside of the Ticketing Service, including, but not limited to purchases through: ticket touts, ticket purchasing agents, ticket shops, bulletin boards and online auctions.
Article 14. Indemnity regarding tickets
  1. Japan Music Network Inc. shall bear no liability whatsoever for any grievances and/or disputes arising from the purchase of tickets outside of the Ticketing Service .
  2. In relation to the Ticketing Service, Japan Music Network Inc. shall bear no liability whatsoever for any damages and losses suffered by Member and/or third parties, which arise as a result of any system delay and/or the inability to confirm ticket reservations due to conjestion in the communication lines and/or any faults in the computer systems.
Article 15. Lost tickets
  1. Entrance to the event venue cannot be guaranteed without presentation of a valid ticket. In the case a third party is in possession of a purchased ticket, the third party shall be allowed to enter the event venue.
  2. In the case a ticket has been lost, upon Event Promoterfs approval Japan Music Network Inc. may issue/provide a certificate of issue.
  3. Member must apply directly to Event Promoter in order to obtain Event Promoterfs approval as described in the above provision.
  4. The validity of the aforesaid shall be determined by Event Promoter, and the certificate of issue shall have no effect except confirming the issue of the ticket.
Article 16. Other
  1. Notwithstanding the afore-stated provisions in this Stipulations on Ticket Sales, Japan Music Network Inc. may also take necessary measures, if any, in accordance with the terms and conditions and/or separate stipulations of Event Promoter. Japan Music Network Inc. reserves the right to amend the provisions of this Stipulations on Ticket Sales where necessary and also upon request from Event Promoter without any prior notice.
  2. Article 8. Ticket delivery Member shall select the ticket delivery method set by Japan Music Network Inc. and Member understands that the delivery method cannot be changed whatsoever once the ticket order is confirmed. Member understands that even after the confirmation of the ticket order, the delivery method may be subject to change in accordance with the circumstances of Event Promoter and/or Japan Music Network Inc.
